1. Acceptance of Terms
By accessing and using Rytek's services, including but not limited to AI automation solutions, custom agent development, and consulting services, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions.
If you do not agree with any part of these terms, you must not use our services. These terms constitute a legally binding agreement between you (the "Client") and Rytek (the "Company").
We reserve the right to refuse service to anyone for any reason at any time. Your continued use of our services following any changes to these terms constitutes acceptance of those changes.
2. Use of Services
Rytek provides AI automation solutions, custom agent development, workflow optimization, and related consulting services. Our services are intended for business and professional use only.
You agree to use our services only for lawful purposes and in accordance with these terms. You are prohibited from using our services:
- In any way that violates applicable laws or regulations
- To transmit harmful, offensive, or illegal content
- To impersonate or attempt to impersonate Rytek or its employees
- To interfere with or disrupt our services or servers
- To engage in any automated data collection without permission
- To reverse engineer or attempt to extract source code from our solutions
We reserve the right to suspend or terminate your access to our services if you violate these terms or engage in any conduct we deem inappropriate or harmful.
3. Intellectual Property Rights
All content, features, and functionality of Rytek's services, including but not limited to text, graphics, logos, software, AI models, and proprietary algorithms, are owned by Rytek and are protected by international copyright, trademark, and other intellectual property laws.
Unless otherwise specified in a separate written agreement, all custom solutions developed by Rytek remain the intellectual property of Rytek. Clients are granted a non-exclusive, non-transferable license to use the delivered solutions for their intended business purposes.
You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any of our proprietary content without our express written permission. Any unauthorized use may result in legal action and termination of services.
4. Client Responsibilities
As a client of Rytek, you are responsible for:
- Providing accurate and complete information necessary for service delivery
- Maintaining the confidentiality of any access credentials provided
- Ensuring your use of our services complies with all applicable laws
- Obtaining necessary permissions for any data or content you provide to us
- Timely communication and feedback during project development
- Payment of all fees according to agreed terms
You acknowledge that the quality and timeliness of our services may depend on your cooperation and the accuracy of information you provide. Delays caused by incomplete or inaccurate information from your side may affect project timelines and deliverables.
5. Payment Terms & Refunds
All fees for Rytek's services are specified in individual project proposals or service agreements. Payment terms, including deposit requirements and milestone payments, will be clearly outlined before project commencement.
Unless otherwise agreed in writing, payment is due within 14 days of invoice date. Late payments may incur interest charges of 1.5% per month or the maximum rate permitted by law, whichever is lower.
Refund Policy
Due to the custom nature of our services, refunds are evaluated on a case-by-case basis. Deposits and payments for completed work are generally non-refundable. If you are unsatisfied with our services, please contact us immediately to discuss resolution options.
We reserve the right to suspend or terminate services for non-payment. Any outstanding balances must be paid in full before final deliverables are released.
6. Confidentiality
Rytek respects the confidentiality of client information. We will not disclose any confidential information shared during the course of our engagement without your explicit consent, except as required by law.
Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the business relationship. This obligation continues even after the termination of services.
For projects requiring enhanced confidentiality, we are willing to execute separate Non-Disclosure Agreements (NDAs) upon request.
7. Limitation of Liability
To the maximum extent permitted by law, Rytek shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or other intangible losses resulting from:
- Your use or inability to use our services
- Any unauthorized access to or alteration of your data
- Any interruption or cessation of services
- Any bugs, viruses, or harmful components transmitted through our services
- Any errors or omissions in content or services
Our total liability for any claims arising from or related to our services shall not exceed the total amount paid by you to Rytek in the twelve months preceding the claim.
8. Disclaimers
Rytek's services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
While we strive to deliver high-quality AI automation solutions, we do not guarantee that our services will be uninterrupted, error-free, or completely secure. AI technologies are continuously evolving, and results may vary based on implementation and usage.
We do not warrant that our services will meet your specific requirements or that any errors will be corrected. You acknowledge that your use of our services is at your sole risk.
9. Termination
Either party may terminate the service agreement with written notice as specified in the individual project contract. In the absence of a specific termination clause, either party may terminate with 30 days' written notice.
Rytek reserves the right to immediately terminate or suspend services without notice if you breach these terms, fail to make payments, or engage in conduct that we determine to be harmful or inappropriate.
Upon termination, you must immediately cease using our services and any proprietary materials provided. Payment obligations for services rendered up to the termination date remain in effect.
10. Governing Law & Dispute Resolution
These Terms & Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which Rytek operates, without regard to its conflict of law provisions.
Any disputes arising from or relating to these terms or our services shall first be attempted to be resolved through good-faith negotiation between the parties. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association.
You agree to waive any right to a jury trial and to participate in class action lawsuits against Rytek.
11. Changes to Terms
Rytek reserves the right to modify or update these Terms & Conditions at any time. We will notify clients of significant changes via email or through prominent notices on our website.
Your continued use of our services after changes are posted constitutes your acceptance of the revised terms. We encourage you to review these terms periodically to stay informed of any updates.
For ongoing projects, changes to terms will not affect agreements already in place unless mutually agreed upon in writing.
